Welcome to DaiDai Cellar (“we”, “us”, “our”). We operate this website and store, including all related information, content, features, tools, products, and services (the “Services”). Our store is powered by Shopify, which enables us to provide the Services.

These Terms of Service (“Terms”) together with any policies referenced here (including our Privacy Policy and Refund Policy) describe your rights and responsibilities when using the Services.

By visiting, interacting with, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

1. Access & Account

You represent that you are at least the age of majority in your jurisdiction, or you have consent from a parent/guardian for any minor dependents using devices you own or manage. You may be asked for information (e.g., email, billing, payment, shipping). You warrant it is accurate and that you have rights to provide it. You’re responsible for protecting your account credentials and all activity under your account.

2. Products & Content

We try to display products accurately, but colors/appearance can vary by device and settings. Descriptions, pricing, and availability may change without notice. We may limit quantities or discontinue products at any time and may limit sales to any person, region, or jurisdiction.

3. Orders

Your order is an offer to purchase. We may accept or decline any order at our discretion. An order is accepted only after we confirm and process payment. Please review before submitting; we may be unable to cancel after acceptance. If we change or cancel an order, we’ll try to notify you using your submitted contact details. Purchases are subject to our Refund Policy. You represent that purchases are for personal/household use and not for resale or export.

4. Prices & Billing

Prices, discounts, and promotions may change without notice. The price charged is the price at checkout and in your confirmation email. Unless stated otherwise, prices exclude taxes, shipping/handling, customs, and import charges. You agree to provide current, complete, and accurate purchase and payment information and to promptly update it so we can complete transactions and contact you as needed.

5. Shipping & Delivery

Delivery times are estimates, not guarantees. We are not liable for carrier delays, customs processing, or events outside our control. Title and risk of loss pass to you when we hand orders to the carrier.

6. Intellectual Property

The Services (including trademarks, text, images, graphics, video, audio, and their selection and arrangement) are owned by DaiDai Cellar or licensors and are protected by intellectual-property laws. You may use the Services for personal, non-commercial purposes only. No license is granted except as expressly stated. Our names, logos, and marks are our trademarks; other marks belong to their owners.

7. Optional Tools & Features

We may provide access to third-party tools or new features “as is” and “as available” without warranties or endorsements, and we are not liable for your use. Use is at your own risk and subject to the providers’ terms.

8. Third-Party Links

The Services may link to third-party sites or content. We are not responsible for their content, policies, or practices. Access and transactions with third parties are at your own risk—review their terms and policies.

9. Relationship with Shopify

 Our store is powered by Shopify. Sales are made directly between you and DaiDai Cellar. Shopify is not responsible for any aspect of sales between you and us. You expressly release Shopify and its affiliates from claims, damages, and liabilities arising from your purchases and transactions with us.

10. Privacy

Personal information we collect is handled per our Privacy Policy. Because the Services are hosted by Shopify, Shopify also collects and processes certain data to operate and improve the Services; see Shopify’s privacy policy. Information you submit may be transferred to and processed in other countries.

11. Feedback

If you submit reviews, ideas, or other feedback (“Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use and display it for any purpose. You represent you have rights to the Feedback and that it complies with these Terms. We may monitor, edit, or remove Feedback we consider objectionable.

12. Errors & Omissions

Information on the Services may contain errors or omissions (e.g., descriptions, pricing, availability). We may correct or update information or cancel orders if any information is inaccurate, without prior notice.

13. Prohibited Uses

You may not use the Services for unlawful or harmful purposes; to infringe IP rights; to harass, defame, or abuse; to transmit malware or spam; to scrape/crawl; or to circumvent security. We may suspend or terminate access for violations.

14. Termination

We may terminate or suspend the Services at any time. Sections that by nature should survive termination will survive (including IP, Feedback, Disclaimers, Limitation of Liability, Indemnification, Severability, Waiver/Entire Agreement, Assignment, Governing Law, and Privacy).

15. Disclaimer of Warranties

Except as expressly stated by us, the Services and all products are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. To the fullest extent permitted by law, DaiDai Cellar and our officers, employees, partners, agents, contractors, service providers, and licensors (and Shopify and its affiliates) are not liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, revenue, savings, data, or replacement costs) arising from your use of the Services or products, even if advised of the possibility.

17. Indemnification

You agree to indemnify and hold harmless DaiDai Cellar, Shopify, and our respective affiliates and personnel from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, violation of law, or misuse of the Services.

18. Severability

If any provision is unlawful or unenforceable, the remainder remains in effect to the fullest extent permitted by law.

19. Waiver; Entire Agreement

Failure to enforce a right is not a waiver. These Terms (and referenced policies) are the entire agreement and supersede prior understandings regarding the Services.

20. Assignment

You may not assign these Terms without our prior written consent. We may assign without notice.

21. Changes

We may update these Terms by posting a revised version with an effective date. Continued use after changes means you accept the updated Terms.
